Welcome to Hyloric. By accessing or using our platform at hyloric.com ("Service"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with them. If you are using the Service on behalf of an organization, you agree to these Terms on behalf of that organization.

2. Description of Service

Hyloric provides an AI-powered hardware project management platform ("Platform"). The Platform includes AI agents, project management tools, BOM generation, file storage, marketplace access, and shipping integration. Features may vary by subscription plan.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use at support@hyloric.com. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Billing

The Service is offered on a subscription basis. Subscriptions are billed monthly in advance. Payments are processed by Paddle (paddle.com), our authorized payment provider. By subscribing, you authorize Paddle to charge your payment method on a recurring basis.

• Your subscription renews automatically at the end of each billing period.
• You may cancel your subscription at any time from your account profile. Cancellation takes effect at the end of the current billing period.
• We reserve the right to change pricing with 30 days' notice.
• All prices are in US Dollars (USD) unless otherwise stated.

5. Free Trial

New accounts may receive a 7-day free trial with access to Basic plan features. No payment is required to start a trial. After the trial expires, access to paid features will be restricted until a subscription is activated.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Upload content that infringes intellectual property rights, is malicious, or is otherwise harmful.
• Attempt to reverse engineer, scrape, or disrupt the Service or its infrastructure.
• Share your account credentials with others or create multiple accounts to circumvent plan limits.
• Use the AI outputs to generate false, misleading, or deceptive technical documentation.

7. AI-Generated Content

The Service uses AI to assist with hardware project management. AI outputs are provided for informational and productivity purposes only. Hyloric does not warrant the accuracy, completeness, or fitness for a particular purpose of any AI-generated content. You are solely responsible for reviewing and validating any AI-generated technical specifications, BOMs, or other engineering outputs before use in a real project.

8. Intellectual Property

You retain ownership of the content you upload to the Platform. By uploading content, you grant Hyloric a limited, non-exclusive license to store, display, and process your content solely to provide the Service. Hyloric retains all rights to the Platform, including its AI models, software, and branding.

9. Data and Privacy

Our use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Hyloric and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use the Service. Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid to Hyloric in the 3 months preceding the claim.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or at our sole discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 8, 10, 11, and 14) will survive.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notification. Continued use of the Service after the effective date of the revised Terms constitutes your acceptance of them.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Hyloric operates, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.
